Šios Konkrečiai šaliai skirtos sąlygos papildo FoxiFood Paslaugų teikimo sąlygas, Privatumo politiką ir kitus bendruosius teisinius dokumentus, skirtus restoranų partneriams (Naudotojams) ir galutiniams klientams, įsisteigusiems Lietuva. Kilus prieštaravimui, šios Konkrečiai šaliai skirtos sąlygos turi viršenybę Naudotojams Lietuva.
1. Platformos operatorius
FoxiFood platforma visame pasaulyje priklauso ir yra valdoma Elite Digital Services, LLC — Jungtinėse Valstijose įregistruotos bendrovės, kurios registruota buveinė yra 1111B S Governors Ave #21653, Dover, DE 19904, USA. Teikėjas Paslaugą teikia išimtinai domenuose foxifood.com ir foxi.food.
Kitus domenus ar vietines arba nacionalines platformos versijas gali valdyti atskiri juridiniai subjektai pagal atskirą licencinę sutartį dėl prekių ženklo FOXIFOOD naudojimo; tokie subjektai veikia savo vardu ir savo atsakomybe ir nėra Teikėjo ir Naudotojo Sutarties šalys.
2. Registracija ir prieinamumas
Lietuva įsisteigę restoranai ir maisto verslo įmonės gali registruotis ir naudotis Paslauga. Paslauga teikiama iš Jungtinių Valstijų kaip talpinama programinė įranga kaip paslauga; Teikėjas nepalaiko filialo ar buveinės Lietuva.
3. Taikytina teisė ir ginčai
Sutarčiai taikoma Delaware valstijos, JAV, teisė, o ginčai priklauso Delaware valstijos teismų jurisdikcijai, kaip numatyta Paslaugų teikimo sąlygų 19 skirsnyje. Nė viena Sutarties nuostata neatima iš Naudotojo — arba, kai taikoma, vartotojo — apsaugos, suteikiamos Lietuva teisės nuostatų, nuo kurių negalima nukrypti susitarimu.
Kadangi Lietuva priklauso Europos Sąjungai / Europos ekonominei erdvei, ginčai gali būti alternatyviai nagrinėjami Budos centriniame apygardos teisme (Budai Központi Kerületi Bíróság), Budapeštas, Vengrija, kaip numatyta Paslaugų teikimo sąlygų 19.4 skirsnyje.
4. Mokesčiai
Visos kainos yra grynosios kainos, neįskaitant VAT (PVM) ir bet kokių kitų taikomų mokesčių. Teikėjas yra Jungtinių Valstijų bendrovė; Naudotojas yra atsakingas už savarankišką VAT (PVM) ir bet kokių kitų Lietuva taikomų mokesčių įvertinimą bei deklaravimą, įskaitant pagal bet kokias atvirkštinio apmokestinimo ar importuojamų paslaugų taisykles, taikomas iš užsienio tiekėjo įsigytoms paslaugoms.
5. Duomenų apsauga
Asmens duomenys tvarkomi pagal mūsų bendrą Privatumo politiką ir Duomenų tvarkymo sutartį. Naudotojams ir galutiniams klientams Lietuva, taikoma duomenų apsaugos sistema apima Regulation (EU) 2016/679 (GDPR) and the Law on Legal Protection of Personal Data. Naudotojas išlieka savo galutinių klientų užsakymų duomenų valdytoju ir yra atsakingas už Lietuva taikomų duomenų apsaugos pareigų laikymąsi.
ES/EEE atitikties sistema — įskaitant pagal BDAR 27 straipsnį paskirtą ES atstovą ir kompetentingas priežiūros institucijas — aprašyta mūsų svetainės skiltyje „Teisinė informacija“ esančiame BDAR puslapyje.
6. Vartotojai
Kai Lietuva privalomos vartotojų apsaugos taisyklės taikomos galutinio kliento naudojimuisi FOXI ID ar restorano užsakymų svetaine, jokia FoxiFood teisinių dokumentų nuostata neapriboja jokių teisių, suteikiamų tomis taisyklėmis, kurių negalima atsisakyti susitarimu.
7. Kalba
Šios Konkrečiai šaliai skirtos sąlygos pateikiamos Lietuviškai kalba. Visų FoxiFood teisinių dokumentų anglų kalbos versija išlieka autentiška versija; kilus neatitikimui tarp vertimo ir anglų kalbos versijos, viršenybę turi anglų kalbos versija.

English version (authoritative)
These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Lithuania. In the event of a conflict, these Country-Specific Terms prevail for Users in Lithuania.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Lithuania may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Lithuania.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Lithuania that cannot be derogated from by agreement.
Because Lithuania belongs to the European Union / European Economic Area, disputes may alternatively be brought before the Buda Central District Court (Budai Központi Kerületi Bíróság), Budapest, Hungary, as set out in Section 19.4 of the Terms of Service.
4. Taxes
All prices are net prices exclusive of VAT (PVM) and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT (PVM) and any other taxes applicable in Lithuania, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Lithuania, the applicable data protection framework includes Regulation (EU) 2016/679 (GDPR) and the Law on Legal Protection of Personal Data. The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Lithuania.

6. Consumers
Where the mandatory consumer protection rules of Lithuania apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Lithuanian. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
