Käesolevad riigipõhised tingimused täiendavad FoxiFoodi teenusetingimusi, privaatsuspoliitikat ja muid globaalseid õigusdokumente restoranipartnerite (Kasutajate) ja Eesti asuvate lõppklientide jaoks. Vastuolu korral on Eesti Kasutajate jaoks ülimuslikud käesolevad riigipõhised tingimused.
1. Platvormi haldaja
FoxiFoodi platvorm kuulub Elite Digital Services, LLC-le, Ameerika Ühendriikides asutatud ettevõttele, mille registrijärgne asukoht on 1111B S Governors Ave #21653, Dover, DE 19904, USA, ja seda hallatakse kogu maailmas. Teenuseosutaja osutab Teenust eranditult domeenidel foxifood.com ja foxi.food.
Teisi domeene või platvormi kohalikke või riiklikke versioone võivad hallata eraldi juriidilised isikud eraldi litsentsilepingu alusel FOXIFOOD kaubamärgi kasutamiseks; sellised üksused tegutsevad enda nimel ja enda vastutusel ega ole Teenuseosutaja ja Kasutaja vahelise Lepingu pooled.
2. Registreerimine ja kättesaadavus
Eesti asutatud restoranid ja toitlustusettevõtted võivad Teenuse jaoks registreeruda ja seda kasutada. Teenust osutatakse Ameerika Ühendriikidest majutatud tarkvara-teenusena; Teenuseosutajal ei ole Eesti filiaali ega tegevuskohta.
3. Kohaldatav õigus ja vaidlused
Lepingule kohaldatakse Delaware'i osariigi (USA) õigust ning vaidlused kuuluvad Delaware'i osariigi kohtute pädevusse, nagu on sätestatud teenusetingimuste punktis 19. Miski Lepingus ei võta Kasutajalt — või vajaduse korral tarbijalt — kaitset, mis tuleneb Eesti õiguse sätetest, millest ei saa kokkuleppel kõrvale kalduda.
Kuna Eesti kuulub Euroopa Liitu / Euroopa Majanduspiirkonda, võib vaidlusi alternatiivina esitada Buda Kesklinna Ringkonnakohtule (Budai Központi Kerületi Bíróság) Budapestis, Ungaris, vastavalt teenusetingimuste punktile 19.4.
4. Maksud
Kõik hinnad on netohinnad, mis ei sisalda VAT (käibemaks) ega muid kohaldatavaid makse. Teenuseosutaja on Ameerika Ühendriikide ettevõte; Kasutaja vastutab VAT (käibemaks) ja muude Eesti kohaldatavate maksude ise hindamise ja deklareerimise eest, sealhulgas pöördmaksustamise või imporditud teenuste eeskirjade alusel, mis kehtivad välismaiselt tarnijalt ostetud teenustele.
5. Andmekaitse
Isikuandmeid töödeldakse kooskõlas meie globaalse privaatsuspoliitika ja andmetöötluslepinguga. Eesti Kasutajate ja lõppklientide jaoks hõlmab kohaldatav andmekaitseraamistik Regulation (EU) 2016/679 (GDPR) and the Personal Data Protection Act (isikuandmete kaitse seadus). Kasutaja jääb oma lõppklientide tellimuste andmete vastutavaks töötlejaks ning vastutab Eesti kohaldatavate andmekaitsekohustuste täitmise eest.
ELi/EMP vastavusraamistikku — sealhulgas GDPRi artikli 27 alusel määratud ELi esindajat ja pädevaid järelevalveasutusi — kirjeldatakse meie veebisaidi jaotise „Õigusalane teave“ GDPR-lehel.
6. Tarbijad
Kui Eesti kohustuslikud tarbijakaitse-eeskirjad kehtivad lõppkliendi poolt FOXI ID või restorani tellimuste esitamise veebisaidi kasutamise suhtes, ei piira miski FoxiFoodi õigusdokumentides õigusi, mille need eeskirjad annavad ja millest ei saa kokkuleppel loobuda.
7. Keel
Käesolevad riigipõhised tingimused on esitatud keeles eesti. Kõigi FoxiFoodi õigusdokumentide ingliskeelne versioon jääb autoriteetseks versiooniks; tõlke ja ingliskeelse versiooni vastuolu korral on ülimuslik ingliskeelne versioon.

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Estonia. In the event of a conflict, these Country-Specific Terms prevail for Users in Estonia.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Estonia may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Estonia.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Estonia that cannot be derogated from by agreement.
Because Estonia belongs to the European Union / European Economic Area, disputes may alternatively be brought before the Buda Central District Court (Budai Központi Kerületi Bíróság), Budapest, Hungary, as set out in Section 19.4 of the Terms of Service.
4. Taxes
All prices are net prices exclusive of VAT (käibemaks) and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT (käibemaks) and any other taxes applicable in Estonia, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Estonia, the applicable data protection framework includes Regulation (EU) 2016/679 (GDPR) and the Personal Data Protection Act (isikuandmete kaitse seadus). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Estonia.

6. Consumers
Where the mandatory consumer protection rules of Estonia apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Estonian. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
