Điều khoản Riêng theo Quốc gia này bổ sung cho Điều khoản Dịch vụ, Chính sách Quyền riêng tư và các tài liệu pháp lý toàn cầu khác của FoxiFood dành cho đối tác nhà hàng (Người dùng) và khách hàng cuối có trụ sở tại Việt Nam. Trong trường hợp có xung đột, Điều khoản Riêng theo Quốc gia này sẽ được ưu tiên áp dụng đối với Người dùng tại Việt Nam.
1. Đơn vị Vận hành Nền tảng
Nền tảng FoxiFood thuộc sở hữu và được vận hành trên toàn thế giới bởi Elite Digital Services, LLC, một công ty được thành lập tại Hoa Kỳ với trụ sở đăng ký tại 1111B S Governors Ave #21653, Dover, DE 19904, USA. Nhà cung cấp vận hành Dịch vụ chỉ tại các tên miền foxifood.com và foxi.food.
Các tên miền khác hoặc phiên bản nền tảng theo địa phương/quốc gia có thể do các pháp nhân riêng biệt vận hành theo thỏa thuận cấp phép riêng về việc sử dụng nhãn hiệu FOXIFOOD; các pháp nhân đó hoạt động dưới danh nghĩa và trách nhiệm riêng của mình và không phải là một bên của Thỏa thuận giữa Nhà cung cấp và Người dùng.
2. Đăng ký và Phạm vi Cung cấp
Nhà hàng và doanh nghiệp kinh doanh thực phẩm được thành lập tại Việt Nam có thể đăng ký và sử dụng Dịch vụ. Dịch vụ được cung cấp từ Hoa Kỳ theo hình thức phần mềm dưới dạng dịch vụ (SaaS) được lưu trữ; Nhà cung cấp không duy trì chi nhánh hay cơ sở nào tại Việt Nam.
3. Luật Điều chỉnh và Tranh chấp
Thỏa thuận này chịu sự điều chỉnh của luật pháp Bang Delaware, Hoa Kỳ, và các tranh chấp thuộc thẩm quyền tài phán của tòa án Bang Delaware, theo quy định tại Mục 19 của Điều khoản Dịch vụ. Không nội dung nào trong Thỏa thuận tước bỏ của Người dùng — hoặc, nếu áp dụng, của người tiêu dùng — sự bảo vệ của các quy định pháp luật của Việt Nam mà không thể bị thỏa thuận loại trừ.
4. Thuế
Tất cả giá đều là giá thực chưa bao gồm VAT và bất kỳ khoản thuế hiện hành nào khác. Nhà cung cấp là một công ty của Hoa Kỳ; Người dùng có trách nhiệm tự kê khai và nộp VAT cùng bất kỳ khoản thuế nào khác áp dụng tại Việt Nam, kể cả theo các quy định về cơ chế thuế ngược (reverse-charge) hoặc dịch vụ nhập khẩu áp dụng cho dịch vụ mua từ nhà cung cấp nước ngoài.
Doanh nghiệp tại Việt Nam cũng có thể phải tuân thủ electronic invoices (hóa đơn điện tử); việc tuân thủ mọi yêu cầu về hệ thống ghi nhận doanh thu (fiscalization) hoặc xuất hóa đơn như vậy hoàn toàn thuộc trách nhiệm của Người dùng.
5. Bảo vệ Dữ liệu
Dữ liệu cá nhân được xử lý theo Chính sách Quyền riêng tư toàn cầu và Thỏa thuận Xử lý Dữ liệu của chúng tôi. Đối với Người dùng và khách hàng cuối tại Việt Nam, khung pháp lý bảo vệ dữ liệu áp dụng bao gồm Decree No. 13/2023/ND-CP on Personal Data Protection and the Law on Personal Data Protection. Người dùng vẫn là bên kiểm soát dữ liệu đối với dữ liệu đơn hàng của khách hàng cuối của mình và có trách nhiệm tuân thủ các nghĩa vụ bảo vệ dữ liệu áp dụng tại Việt Nam.
6. Người tiêu dùng
Trường hợp các quy định bảo vệ người tiêu dùng bắt buộc của Việt Nam áp dụng đối với việc khách hàng cuối sử dụng FOXI ID hoặc trang web đặt hàng của nhà hàng, không nội dung nào trong các tài liệu pháp lý của FoxiFood hạn chế bất kỳ quyền nào được các quy định đó trao mà không thể bị thỏa thuận từ bỏ.
7. Ngôn ngữ
Điều khoản Riêng theo Quốc gia này được cung cấp bằng Tiếng Việt. Phiên bản tiếng Anh của mọi tài liệu pháp lý của FoxiFood luôn có giá trị pháp lý cao nhất; trong trường hợp có sự khác biệt giữa bản dịch và phiên bản tiếng Anh, phiên bản tiếng Anh sẽ được ưu tiên áp dụng.

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Vietnam. In the event of a conflict, these Country-Specific Terms prevail for Users in Vietnam.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Vietnam may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Vietnam.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Vietnam that cannot be derogated from by agreement.
4. Taxes
All prices are net prices exclusive of VAT and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT and any other taxes applicable in Vietnam, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Vietnam may also be subject to electronic invoices (hóa đơn điện tử); compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Vietnam, the applicable data protection framework includes Decree No. 13/2023/ND-CP on Personal Data Protection and the Law on Personal Data Protection. The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Vietnam.
6. Consumers
Where the mandatory consumer protection rules of Vietnam apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Vietnamese. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
