Ang Country-Specific Terms na ito ay dagdag sa Terms of Service, Privacy Policy, at ibang global na legal na dokumento ng FoxiFood para sa mga restaurant partner (User) at end customer na nakabase sa Pilipinas. Kung may conflict, ang Country-Specific Terms na ito ang mananaig para sa mga User sa Pilipinas.
1. Tagapagpatakbo ng Platform
Ang FoxiFood platform ay pag-aari at pinapatakbo sa buong mundo ng Elite Digital Services, LLC, isang kumpanyang naitatag sa Estados Unidos na ang rehistradong opisina ay nasa 1111B S Governors Ave #21653, Dover, DE 19904, USA. Ang Tagapagbigay ay nagpapatakbo ng Serbisyo eksklusibo sa mga domain na foxifood.com at foxi.food.
Ang ibang domain o local o national na bersyon ng platform ay maaaring pinapatakbo ng hiwalay na legal entity sa ilalim ng hiwalay na license agreement para sa paggamit ng FOXIFOOD trademark; ang mga entity na iyon ay kumikilos sa sarili nitong pangalan at sariling responsibilidad at hindi bahagi ng Kasunduan sa pagitan ng Tagapagbigay at ng User.
2. Rehistrasyon at Availability
Ang mga restaurant at food business na itinatag sa Pilipinas ay maaaring magparehistro at gumamit ng Serbisyo. Ang Serbisyo ay ibinibigay mula sa Estados Unidos sa batayang hosted software-as-a-service; ang Tagapagbigay ay walang pinapanatiling branch o establishment sa Pilipinas.
3. Namamahalang Batas at mga Dispute
Ang Kasunduan ay pinamamahalaan ng mga batas ng State of Delaware, USA, at ang mga dispute ay sakop ng hurisdiksyon ng mga korte ng State of Delaware, gaya ng nakasaad sa Section 19 ng Terms of Service. Walang anuman sa Kasunduan ang nag-aalis sa User — o, kung naaangkop, sa isang mamimili — ng proteksyon ng mga probisyon ng batas ng Pilipinas na hindi maaaring i-derogate sa pamamagitan ng kasunduan.
4. Buwis
Ang lahat ng presyo ay net na presyo na hindi kasama ang VAT at anumang iba pang naaangkop na buwis. Ang Tagapagbigay ay isang kumpanya ng Estados Unidos; responsibilidad ng User na kusang tasahin at iulat ang VAT at anumang iba pang buwis na naaangkop sa Pilipinas, kabilang ang sa ilalim ng anumang reverse-charge o mga panuntunan sa imported-services na naaangkop sa mga serbisyong binili mula sa dayuhang supplier.
Ang mga negosyo sa Pilipinas ay maaari ring sumailalim sa BIR-registered receipts and invoicing requirements; ang pagsunod sa anumang ganitong fiscalization o invoicing requirements ay sole responsibility ng User.
5. Proteksyon ng Data
Ang personal data ay pinoproseso alinsunod sa aming global Privacy Policy at Data Processing Agreement. Para sa mga User at end customer sa Pilipinas, kasama sa naaangkop na data protection framework ang the Data Privacy Act of 2012 (Republic Act No. 10173). Ang User ay nananatiling data controller para sa order data ng mga end customer nito at responsable sa pagsunod sa mga obligasyon sa proteksyon ng data na naaangkop sa Pilipinas.
6. Mga Mamimili
Kung saan naaangkop ang mandatoryong consumer protection rules ng Pilipinas sa paggamit ng isang end customer ng FOXI ID o ng ordering website ng isang restaurant, walang anuman sa mga legal na dokumento ng FoxiFood ang naglilimita sa anumang karapatang ibinibigay ng mga panuntunang iyon na hindi maaaring i-waive sa pamamagitan ng kasunduan.
7. Wika
Ang Country-Specific Terms na ito ay ibinibigay sa Filipino. Ang bersyon sa Ingles ng lahat ng legal na dokumento ng FoxiFood ang mananatiling authoritative na bersyon; kung may discrepancy sa pagitan ng isang salin at ng bersyon sa Ingles, ang bersyon sa Ingles ang mananaig.

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Philippines. In the event of a conflict, these Country-Specific Terms prevail for Users in Philippines.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Philippines may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Philippines.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Philippines that cannot be derogated from by agreement.
4. Taxes
All prices are net prices exclusive of VAT and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT and any other taxes applicable in Philippines, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Philippines may also be subject to BIR-registered receipts and invoicing requirements; compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Philippines, the applicable data protection framework includes the Data Privacy Act of 2012 (Republic Act No. 10173). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Philippines.
6. Consumers
Where the mandatory consumer protection rules of Philippines apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Filipino. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
