Dawn it-Termini Speċifiċi għall-Pajjiż jissupplimentaw it-Termini tas-Servizz ta' FoxiFood, il-Politika tal-Privatezza u d-dokumenti legali globali l-oħra għas-sħab tar-ristoranti (l-Utenti) u l-klijenti finali bbażati f'Malta. F'każ ta' kunflitt, dawn it-Termini Speċifiċi għall-Pajjiż jipprevalu għall-Utenti f'Malta.
1. L-Operatur tal-Pjattaforma
Il-pjattaforma FoxiFood hija proprjetà ta' u operata madwar id-dinja minn Elite Digital Services, LLC, kumpanija inkorporata fl-Istati Uniti bl-uffiċċju rreġistrat tagħha f'1111B S Governors Ave #21653, Dover, DE 19904, USA. Il-Fornitur jopera s-Servizz esklussivament fuq id-dominji foxifood.com u foxi.food.
Dominji oħra jew verżjonijiet lokali jew nazzjonali tal-pjattaforma jistgħu jitħaddmu minn entitajiet ġuridiċi separati taħt ftehim ta' liċenzja separat għall-użu tat-trademark FOXIFOOD; dawn l-entitajiet jaġixxu f'isimhom stess u taħt ir-responsabbiltà tagħhom stess u mhumiex parti mill-Ftehim bejn il-Fornitur u l-Utent.
2. Reġistrazzjoni u Disponibbiltà
Ristoranti u negozji tal-ikel stabbiliti f'Malta jistgħu jirreġistraw għas-Servizz u jużawh. Is-Servizz jiġi pprovdut mill-Istati Uniti fuq bażi ta' software-as-a-service ospitat; il-Fornitur ma jżommx fergħa jew stabbiliment f'Malta.
3. Liġi Applikabbli u Tilwim
Il-Ftehim huwa rregolat mil-liġijiet tal-Istat ta' Delaware, USA, u t-tilwim huwa soġġett għall-ġurisdizzjoni tal-qrati tal-Istat ta' Delaware, kif stipulat fit-Taqsima 19 tat-Termini tas-Servizz. Xejn fil-Ftehim ma jċaħħad lill-Utent — jew, fejn applikabbli, lil konsumatur — mill-protezzjoni ta' dawk id-dispożizzjonijiet tal-liġi ta' Malta li ma jistgħux jiġu derogati bi ftehim.
Peress li Malta jagħmel parti mill-Unjoni Ewropea / miż-Żona Ekonomika Ewropea, it-tilwim jista' alternattivament jitressaq quddiem il-Qorti Distrettwali Ċentrali ta' Buda (Budai Központi Kerületi Bíróság), Budapest, l-Ungerija, kif stipulat fit-Taqsima 19.4 tat-Termini tas-Servizz.
4. Taxxi
Il-prezzijiet kollha huma prezzijiet netti mingħajr VAT u kwalunkwe taxxa applikabbli oħra. Il-Fornitur huwa kumpanija tal-Istati Uniti; l-Utent huwa responsabbli għall-awtovalutazzjoni u r-rappurtar ta' VAT u ta' kwalunkwe taxxa oħra applikabbli f'Malta, inkluż skont kwalunkwe regola ta' reverse charge jew ta' servizzi importati li tapplika għal servizzi mixtrija minn fornitur barrani.
In-negozji f'Malta jistgħu jkunu soġġetti wkoll għal fiscal cash registers; il-konformità ma' kwalunkwe rekwiżit bħal dan ta' fiskalizzazzjoni jew fatturazzjoni hija r-responsabbiltà unika tal-Utent.
5. Protezzjoni tad-Data
Id-data personali tiġi pproċessata skont il-Politika tal-Privatezza globali tagħna u l-Ftehim tal-Ipproċessar tad-Data. Għall-Utenti u l-klijenti finali f'Malta, il-qafas applikabbli tal-protezzjoni tad-data jinkludi Regulation (EU) 2016/679 (GDPR) and the Data Protection Act (Cap. 586). L-Utent jibqa' l-kontrollur tad-data għad-data tal-ordnijiet tal-klijenti finali tiegħu u huwa responsabbli għall-konformità mal-obbligi tal-protezzjoni tad-data applikabbli f'Malta.

6. Konsumaturi
Fejn ir-regoli mandatorji tal-protezzjoni tal-konsumatur ta' Malta japplikaw għall-użu minn klijent finali ta' FOXI ID jew tas-sit tal-ordnijiet ta' ristorant, xejn fid-dokumenti legali ta' FoxiFood ma jillimita drittijiet mogħtija minn dawk ir-regoli li ma jistgħux jiġu rrinunzjati bi ftehim.
7. Lingwa
Dawn it-Termini Speċifiċi għall-Pajjiż huma pprovduti bil-lingwa: Malti. Il-verżjoni Ingliża tad-dokumenti legali kollha ta' FoxiFood tibqa' l-verżjoni awtorevoli; f'każ ta' kwalunkwe diskrepanza bejn traduzzjoni u l-verżjoni Ingliża, tipprevali l-verżjoni Ingliża.

English version (authoritative)
These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Malta. In the event of a conflict, these Country-Specific Terms prevail for Users in Malta.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Malta may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Malta.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Malta that cannot be derogated from by agreement.
Because Malta belongs to the European Union / European Economic Area, disputes may alternatively be brought before the Buda Central District Court (Budai Központi Kerületi Bíróság), Budapest, Hungary, as set out in Section 19.4 of the Terms of Service.
4. Taxes
All prices are net prices exclusive of VAT and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT and any other taxes applicable in Malta, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Malta may also be subject to fiscal cash registers; compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Malta, the applicable data protection framework includes Regulation (EU) 2016/679 (GDPR) and the Data Protection Act (Cap. 586). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Malta.
The EU/EEA compliance framework — including the EU representative appointed under Article 27 GDPR and the competent supervisory authorities — is described on the GDPR page in the Legal section of our website.
6. Consumers
Where the mandatory consumer protection rules of Malta apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Maltese. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
