Estas condiciones específicas por país complementan las Condiciones del servicio de FoxiFood, la Política de privacidad y los demás documentos legales globales para los restaurantes asociados (Usuarios) y clientes finales establecidos en Uruguay. En caso de conflicto, estas condiciones específicas por país prevalecen para los Usuarios de Uruguay.
1. Operador de la plataforma
La plataforma FoxiFood es propiedad de Elite Digital Services, LLC, sociedad constituida en los Estados Unidos con domicilio social en 1111B S Governors Ave #21653, Dover, DE 19904, USA, que la opera en todo el mundo. El Proveedor opera el Servicio exclusivamente en los dominios foxifood.com y foxi.food.
Otros dominios o versiones locales o nacionales de la plataforma pueden ser operados por entidades jurídicas independientes en virtud de un contrato de licencia separado para el uso de la marca FOXIFOOD; dichas entidades actúan en su propio nombre y bajo su propia responsabilidad y no son parte del Contrato entre el Proveedor y el Usuario.
2. Registro y disponibilidad
Los restaurantes y negocios gastronómicos establecidos en Uruguay pueden registrarse en el Servicio y utilizarlo. El Servicio se presta desde los Estados Unidos en modalidad de software-as-a-service alojado; el Proveedor no mantiene sucursal ni establecimiento en Uruguay.
3. Ley aplicable y controversias
El Contrato se rige por las leyes del Estado de Delaware, USA, y las controversias quedan sometidas a la jurisdicción de los tribunales del Estado de Delaware, según lo previsto en la cláusula 19 de las Condiciones del servicio. Nada de lo dispuesto en el Contrato priva al Usuario — ni, en su caso, a un consumidor — de la protección de aquellas disposiciones del derecho de Uruguay que no admiten pacto en contrario.
4. Impuestos
Todos los precios son precios netos, sin incluir VAT (IVA) ni ningún otro impuesto aplicable. El Proveedor es una empresa de los Estados Unidos; el Usuario es responsable de autoliquidar y declarar VAT (IVA) y cualquier otro impuesto aplicable en Uruguay, incluso conforme a las normas de inversión del sujeto pasivo (reverse charge) o de importación de servicios aplicables a los servicios adquiridos a un proveedor extranjero.
Las empresas de Uruguay también pueden estar sujetas a electronic fiscal documents (CFE); el cumplimiento de tales requisitos de fiscalización o facturación es responsabilidad exclusiva del Usuario.
5. Protección de datos
Los datos personales se tratan de conformidad con nuestra Política de privacidad global y nuestro Acuerdo de tratamiento de datos. Para los Usuarios y clientes finales de Uruguay, el marco de protección de datos aplicable incluye Law No. 18.331 on Personal Data Protection. El Usuario sigue siendo el responsable del tratamiento de los datos de pedidos de sus clientes finales y responde del cumplimiento de las obligaciones de protección de datos aplicables en Uruguay.
6. Consumidores
Cuando las normas imperativas de protección de los consumidores de Uruguay se apliquen al uso por un cliente final de FOXI ID o del sitio de pedidos de un restaurante, nada de lo dispuesto en los documentos legales de FoxiFood limita los derechos conferidos por dichas normas que no puedan renunciarse mediante pacto.
7. Idioma
Estas condiciones específicas por país se facilitan en el siguiente idioma: español. La versión en inglés de todos los documentos legales de FoxiFood sigue siendo la versión prevalente; en caso de discrepancia entre una traducción y la versión en inglés, prevalecerá la versión en inglés.

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Uruguay. In the event of a conflict, these Country-Specific Terms prevail for Users in Uruguay.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Uruguay may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Uruguay.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Uruguay that cannot be derogated from by agreement.
4. Taxes
All prices are net prices exclusive of VAT (IVA) and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT (IVA) and any other taxes applicable in Uruguay, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Uruguay may also be subject to electronic fiscal documents (CFE); compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Uruguay, the applicable data protection framework includes Law No. 18.331 on Personal Data Protection. The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Uruguay.
6. Consumers
Where the mandatory consumer protection rules of Uruguay apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Spanish. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
