Ці Умови для окремих країн доповнюють Умови надання послуг FoxiFood, Політику конфіденційності та інші глобальні юридичні документи для партнерів-ресторанів (Користувачів) і кінцевих клієнтів, розташованих у Україна. У разі суперечності ці Умови для окремих країн мають переважну силу для Користувачів у Україна.
1. Оператор платформи
Платформа FoxiFood належить і керується у всьому світі компанією Elite Digital Services, LLC, зареєстрованою у Сполучених Штатах, юридична адреса якої: 1111B S Governors Ave #21653, Dover, DE 19904, USA. Постачальник надає Сервіс виключно на доменах foxifood.com і foxi.food.
Інші домени або локальні чи національні версії платформи можуть керуватися окремими юридичними особами за окремою ліцензійною угодою на використання торговельної марки FOXIFOOD; такі особи діють від власного імені та на власну відповідальність і не є стороною Угоди між Постачальником і Користувачем.
2. Реєстрація та доступність
Ресторани та підприємства харчової галузі, засновані в Україна, можуть зареєструватися для використання Сервісу та використовувати його. Сервіс надається зі Сполучених Штатів на умовах розміщеного на хостингу програмного забезпечення як послуги; Постачальник не має філії чи представництва в Україна.
3. Застосовне право та спори
Угода регулюється законодавством штату Delaware, США, а спори підпадають під юрисдикцію судів штату Delaware, як це передбачено розділом 19 Умов надання послуг. Ніщо в Угоді не позбавляє Користувача — або, у відповідних випадках, споживача — захисту тих положень законодавства Україна, від яких не можна відступити за угодою.
4. Податки
Усі ціни є чистими цінами без урахування VAT (ПДВ) та будь-яких інших застосовних податків. Постачальник є компанією, зареєстрованою у Сполучених Штатах; Користувач самостійно відповідає за визначення та сплату VAT (ПДВ) та будь-яких інших податків, застосовних у Україна, у тому числі за правилами зворотного нарахування (reverse charge) або оподаткування імпортованих послуг, що застосовуються до послуг, придбаних в іноземного постачальника.
На підприємства в Україна також може поширюватися дія registrars of settlement operations (РРО/ПРРО); дотримання будь-яких таких вимог щодо фіскалізації чи виставлення рахунків є виключною відповідальністю Користувача.
5. Захист даних
Персональні дані обробляються відповідно до нашої глобальної Політики конфіденційності та Угоди про обробку даних. Для Користувачів і кінцевих клієнтів у Україна застосовна нормативна база захисту даних включає the Law of Ukraine 'On Personal Data Protection' (No. 2297-VI). Користувач залишається контролером даних щодо даних замовлень своїх кінцевих клієнтів і відповідає за дотримання зобов'язань щодо захисту даних, застосовних у Україна.
6. Споживачі
Якщо обов'язкові норми захисту прав споживачів Україна застосовуються до використання кінцевим клієнтом FOXI ID або сайту замовлень ресторану, ніщо в юридичних документах FoxiFood не обмежує будь-які права, надані такими нормами, від яких не можна відмовитися за угодою.
7. Мова
Ці Умови для окремих країн надаються мовою: Українська. Англійська версія всіх юридичних документів FoxiFood залишається авторитетною версією; у разі будь-якої розбіжності між перекладом і англійською версією переважну силу має англійська версія.

English version (authoritative)
These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Ukraine. In the event of a conflict, these Country-Specific Terms prevail for Users in Ukraine.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Ukraine may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Ukraine.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Ukraine that cannot be derogated from by agreement.
4. Taxes
All prices are net prices exclusive of VAT (ПДВ) and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT (ПДВ) and any other taxes applicable in Ukraine, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Ukraine may also be subject to registrars of settlement operations (РРО/ПРРО); compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Ukraine, the applicable data protection framework includes the Law of Ukraine 'On Personal Data Protection' (No. 2297-VI). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Ukraine.
6. Consumers
Where the mandatory consumer protection rules of Ukraine apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Ukrainian. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
