Niniejsze warunki krajowe uzupełniają Warunki świadczenia usług FoxiFood, Politykę prywatności i pozostałe globalne dokumenty prawne dla partnerów restauracyjnych (Użytkowników) i klientów końcowych w kraju Polska. W przypadku sprzeczności niniejsze warunki krajowe mają pierwszeństwo dla Użytkowników w kraju Polska.
1. Operator platformy
Platforma FoxiFood jest własnością i jest prowadzona na całym świecie przez Elite Digital Services, LLC, spółkę zarejestrowaną w Stanach Zjednoczonych z siedzibą pod adresem 1111B S Governors Ave #21653, Dover, DE 19904, USA. Dostawca prowadzi Usługę wyłącznie w domenach foxifood.com i foxi.food.
Inne domeny lub lokalne bądź krajowe wersje platformy mogą być prowadzone przez odrębne podmioty prawne na podstawie odrębnej umowy licencyjnej na używanie znaku towarowego FOXIFOOD; podmioty te działają we własnym imieniu i na własną odpowiedzialność i nie są stroną Umowy między Dostawcą a Użytkownikiem.
2. Rejestracja i dostępność
Restauracje i firmy gastronomiczne z siedzibą w kraju Polska mogą zarejestrować się w Usłudze i korzystać z niej. Usługa jest świadczona ze Stanów Zjednoczonych w modelu hostowanego software-as-a-service; Dostawca nie posiada oddziału ani zakładu w kraju Polska.
3. Prawo właściwe i spory
Umowa podlega prawu stanu Delaware, USA, a spory podlegają jurysdykcji sądów stanu Delaware, zgodnie z pkt 19 Warunków świadczenia usług. Żadne postanowienie Umowy nie pozbawia Użytkownika — ani, w stosownych przypadkach, konsumenta — ochrony wynikającej z tych przepisów prawa kraju Polska, od których nie można odstąpić w drodze umowy.
Ponieważ kraj Polska należy do Unii Europejskiej / Europejskiego Obszaru Gospodarczego, spory mogą być alternatywnie wnoszone przed Centralny Sąd Rejonowy w Budzie (Budai Központi Kerületi Bíróság) w Budapeszcie, Węgry, zgodnie z pkt 19.4 Warunków świadczenia usług.
4. Podatki
Wszystkie ceny są cenami netto, nie zawierają VAT ani innych mających zastosowanie podatków. Dostawca jest spółką ze Stanów Zjednoczonych; Użytkownik odpowiada za samodzielne naliczenie i rozliczenie VAT oraz wszelkich innych podatków obowiązujących w kraju Polska, w tym zgodnie z zasadami odwrotnego obciążenia (reverse charge) lub zasadami dotyczącymi importu usług, mającymi zastosowanie do usług nabywanych od zagranicznego dostawcy.
Przedsiębiorcy w kraju Polska mogą również podlegać systemowi: online fiscal cash registers (kasy fiskalne online); przestrzeganie wszelkich takich wymogów fiskalizacji lub fakturowania należy wyłącznie do Użytkownika.
5. Ochrona danych osobowych
Dane osobowe są przetwarzane zgodnie z naszą globalną Polityką prywatności i Umową powierzenia przetwarzania danych. Dla Użytkowników i klientów końcowych w kraju Polska właściwe ramy ochrony danych obejmują: Regulation (EU) 2016/679 (GDPR) and the Act of 10 May 2018 on the Protection of Personal Data. Użytkownik pozostaje administratorem danych zamówień swoich klientów końcowych i odpowiada za przestrzeganie obowiązków w zakresie ochrony danych obowiązujących w kraju Polska.
Ramy zgodności UE/EOG — w tym przedstawiciel w UE wyznaczony na podstawie art. 27 RODO oraz właściwe organy nadzorcze — opisane są na stronie RODO w sekcji Dokumenty prawne na naszej stronie internetowej.
6. Konsumenci
Jeżeli bezwzględnie obowiązujące przepisy o ochronie konsumentów kraju Polska mają zastosowanie do korzystania przez klienta końcowego z FOXI ID lub strony zamówień restauracji, żadne postanowienie dokumentów prawnych FoxiFood nie ogranicza praw przyznanych tymi przepisami, których nie można zrzec się w drodze umowy.
7. Język
Niniejsze warunki krajowe są udostępniane w języku: polski. Rozstrzygającą wersją wszystkich dokumentów prawnych FoxiFood pozostaje wersja angielska; w przypadku jakichkolwiek rozbieżności między tłumaczeniem a wersją angielską pierwszeństwo ma wersja angielska.

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Poland. In the event of a conflict, these Country-Specific Terms prevail for Users in Poland.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Poland may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Poland.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Poland that cannot be derogated from by agreement.
Because Poland belongs to the European Union / European Economic Area, disputes may alternatively be brought before the Buda Central District Court (Budai Központi Kerületi Bíróság), Budapest, Hungary, as set out in Section 19.4 of the Terms of Service.
4. Taxes
All prices are net prices exclusive of VAT and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT and any other taxes applicable in Poland, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Poland may also be subject to online fiscal cash registers (kasy fiskalne online); compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Poland, the applicable data protection framework includes Regulation (EU) 2016/679 (GDPR) and the Act of 10 May 2018 on the Protection of Personal Data. The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Poland.
The EU/EEA compliance framework — including the EU representative appointed under Article 27 GDPR and the competent supervisory authorities — is described on the GDPR page in the Legal section of our website.
6. Consumers
Where the mandatory consumer protection rules of Poland apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Polish. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
