İşbu Ülkeye Özgü Koşullar, Türkiye ülkesinde yerleşik restoran ortakları (Kullanıcılar) ve son müşteriler için FoxiFood Hizmet Koşulları'nı, Gizlilik Politikası'nı ve diğer küresel hukuki belgeleri tamamlar. Çelişki hâlinde, Türkiye ülkesindeki Kullanıcılar için işbu Ülkeye Özgü Koşullar esas alınır.
1. Platform İşletmecisi
FoxiFood platformu, kayıtlı merkezi 1111B S Governors Ave #21653, Dover, DE 19904, USA adresinde bulunan, Amerika Birleşik Devletleri'nde kurulmuş Elite Digital Services, LLC şirketine aittir ve bu şirket tarafından dünya çapında işletilmektedir. Sağlayıcı, Hizmeti yalnızca foxifood.com ve foxi.food alan adlarında işletir.
Diğer alan adları veya platformun yerel ya da ulusal sürümleri, FOXIFOOD markasının kullanımına ilişkin ayrı bir lisans sözleşmesi kapsamında bağımsız tüzel kişiler tarafından işletilebilir; bu kuruluşlar kendi adlarına ve kendi sorumlulukları altında hareket eder ve Sağlayıcı ile Kullanıcı arasındaki Sözleşme'nin tarafı değildir.
2. Kayıt ve Erişilebilirlik
Türkiye ülkesinde yerleşik restoranlar ve gıda işletmeleri Hizmete kaydolabilir ve Hizmeti kullanabilir. Hizmet, Amerika Birleşik Devletleri'nden barındırılan software-as-a-service modeliyle sunulur; Sağlayıcının Türkiye ülkesinde şubesi veya işyeri bulunmamaktadır.
3. Uygulanacak Hukuk ve Uyuşmazlıklar
Sözleşme, ABD Delaware Eyaleti hukukuna tabidir ve uyuşmazlıklar, Hizmet Koşulları'nın 19. maddesinde öngörüldüğü üzere Delaware Eyaleti mahkemelerinin yargı yetkisine tabidir. Sözleşme'deki hiçbir hüküm, Kullanıcıyı — veya duruma göre bir tüketiciyi — Türkiye hukukunun sözleşmeyle aksi kararlaştırılamayan hükümlerinin sağladığı korumadan yoksun bırakmaz.
4. Vergiler
Tüm fiyatlar net fiyatlar olup VAT (KDV) ve geçerli diğer vergileri içermez. Sağlayıcı bir Amerika Birleşik Devletleri şirketidir; Türkiye ülkesinde geçerli olan VAT (KDV) ile diğer tüm vergilerin — yabancı bir tedarikçiden satın alınan hizmetlere uygulanan ters vergilendirme (reverse charge) veya hizmet ithalatı kuralları dâhil — beyan edilmesi ve ödenmesi Kullanıcının sorumluluğundadır.
Türkiye ülkesindeki işletmeler ayrıca şu sisteme tabi olabilir: e-invoicing (e-Fatura/e-Arşiv) and new-generation fiscal devices; bu tür mali kayıt (fiscalization) veya faturalama gerekliliklerine uyum yalnızca Kullanıcının sorumluluğundadır.
5. Veri Koruma
Kişisel veriler, küresel Gizlilik Politikamız ve Veri İşleme Sözleşmemiz uyarınca işlenir. Türkiye ülkesindeki Kullanıcılar ve son müşteriler için geçerli veri koruma çerçevesi şunları içerir: Law No. 6698 on the Protection of Personal Data (KVKK). Kullanıcı, son müşterilerinin sipariş verilerine ilişkin veri sorumlusu olmaya devam eder ve Türkiye ülkesinde geçerli veri koruma yükümlülüklerine uyumdan sorumludur.
6. Tüketiciler
Türkiye ülkesinin emredici tüketici koruma kuralları, bir son müşterinin FOXI ID'yi veya bir restoranın sipariş web sitesini kullanımına uygulandığı takdirde, FoxiFood hukuki belgelerindeki hiçbir hüküm, bu kuralların tanıdığı ve sözleşmeyle feragat edilemeyen hakları sınırlamaz.
7. Dil
İşbu Ülkeye Özgü Koşullar şu dilde sunulmaktadır: Türkçe. Tüm FoxiFood hukuki belgelerinin esas alınan sürümü İngilizce sürümdür; bir çeviri ile İngilizce sürüm arasında herhangi bir uyumsuzluk hâlinde İngilizce sürüm esas alınır.

English version (authoritative)
These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Turkey. In the event of a conflict, these Country-Specific Terms prevail for Users in Turkey.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Turkey may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Turkey.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Turkey that cannot be derogated from by agreement.
4. Taxes
All prices are net prices exclusive of VAT (KDV) and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT (KDV) and any other taxes applicable in Turkey, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Turkey may also be subject to e-invoicing (e-Fatura/e-Arşiv) and new-generation fiscal devices; compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Turkey, the applicable data protection framework includes Law No. 6698 on the Protection of Personal Data (KVKK). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Turkey.
6. Consumers
Where the mandatory consumer protection rules of Turkey apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Turkish. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
