Deze Landspecifieke Voorwaarden vormen een aanvulling op de Algemene Voorwaarden van FoxiFood, het Privacybeleid en de overige mondiale juridische documenten voor restaurantpartners (Gebruikers) en eindklanten die gevestigd zijn in Nederland. In geval van tegenstrijdigheid prevaleren deze Landspecifieke Voorwaarden voor Gebruikers in Nederland.
1. Platformbeheerder
Het FoxiFood platform is eigendom van en wordt wereldwijd geëxploiteerd door Elite Digital Services, LLC, een in de Verenigde Staten opgerichte vennootschap met statutaire zetel te 1111B S Governors Ave #21653, Dover, DE 19904, USA. De Aanbieder exploiteert de Dienst uitsluitend op de domeinen foxifood.com en foxi.food.
Andere domeinen of lokale of nationale versies van het platform kunnen worden geëxploiteerd door afzonderlijke rechtspersonen op grond van een afzonderlijke licentieovereenkomst voor het gebruik van het handelsmerk FOXIFOOD; dergelijke entiteiten handelen in eigen naam en voor eigen verantwoordelijkheid en zijn geen partij bij de Overeenkomst tussen de Aanbieder en de Gebruiker.
2. Registratie en beschikbaarheid
Restaurants en levensmiddelenbedrijven die in Nederland zijn gevestigd, kunnen zich registreren voor en gebruikmaken van de Dienst. De Dienst wordt vanuit de Verenigde Staten geleverd op basis van gehoste software als dienst; de Aanbieder houdt geen filiaal of vestiging in Nederland aan.
3. Toepasselijk recht en geschillen
De Overeenkomst wordt beheerst door het recht van de staat Delaware, VS, en geschillen zijn onderworpen aan de jurisdictie van de rechtbanken van de staat Delaware, zoals bepaald in Artikel 19 van de Algemene Voorwaarden. Niets in de Overeenkomst ontneemt de Gebruiker — of, waar van toepassing, een consument — de bescherming van de bepalingen van het recht van Nederland waarvan niet bij overeenkomst kan worden afgeweken.
Omdat Nederland tot de Europese Unie / Europese Economische Ruimte behoort, kunnen geschillen in plaats daarvan worden voorgelegd aan de Centrale Arrondissementsrechtbank van Buda (Budai Központi Kerületi Bíróság), Boedapest, Hongarije, zoals bepaald in Artikel 19.4 van de Algemene Voorwaarden.
4. Belastingen
Alle prijzen zijn nettoprijzen exclusief VAT (BTW) en eventuele andere toepasselijke belastingen. De Aanbieder is een Amerikaans bedrijf; de Gebruiker is verantwoordelijk voor het zelf beoordelen en aangeven van VAT (BTW) en eventuele andere belastingen die van toepassing zijn in Nederland, onder meer op grond van eventuele verleggingsregelingen of regels voor ingevoerde diensten die van toepassing zijn op diensten die bij een buitenlandse leverancier zijn afgenomen.
5. Gegevensbescherming
Persoonsgegevens worden verwerkt in overeenstemming met ons mondiale Privacybeleid en onze Verwerkersovereenkomst. Voor Gebruikers en eindklanten in Nederland omvat het toepasselijke gegevensbeschermingskader Regulation (EU) 2016/679 (GDPR) and the Uitvoeringswet AVG. De Gebruiker blijft de verwerkingsverantwoordelijke voor de bestelgegevens van zijn eindklanten en is verantwoordelijk voor de naleving van de gegevensbeschermingsverplichtingen die van toepassing zijn in Nederland.
Het EU/EER-nalevingskader — met inbegrip van de EU-vertegenwoordiger die is aangesteld op grond van Artikel 27 AVG en de bevoegde toezichthoudende autoriteiten — wordt beschreven op de AVG-pagina in het juridische gedeelte van onze website.
6. Consumenten
Voor zover de dwingende consumentenbeschermingsregels van Nederland van toepassing zijn op het gebruik door een eindklant van FOXI ID of van de bestelwebsite van een restaurant, beperkt niets in de juridische documenten van FoxiFood de rechten die door die regels worden verleend en waarvan niet bij overeenkomst kan worden afgezien.
7. Taal
Deze Landspecifieke Voorwaarden worden verstrekt in het Nederlands. De Engelse versie van alle juridische documenten van FoxiFood blijft de gezaghebbende versie; in geval van enige tegenstrijdigheid tussen een vertaling en de Engelse versie, prevaleert de Engelse versie.

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Netherlands. In the event of a conflict, these Country-Specific Terms prevail for Users in Netherlands.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Netherlands may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Netherlands.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Netherlands that cannot be derogated from by agreement.
Because Netherlands belongs to the European Union / European Economic Area, disputes may alternatively be brought before the Buda Central District Court (Budai Központi Kerületi Bíróság), Budapest, Hungary, as set out in Section 19.4 of the Terms of Service.
4. Taxes
All prices are net prices exclusive of VAT (BTW) and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT (BTW) and any other taxes applicable in Netherlands, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Netherlands, the applicable data protection framework includes Regulation (EU) 2016/679 (GDPR) and the Uitvoeringswet AVG. The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Netherlands.

6. Consumers
Where the mandatory consumer protection rules of Netherlands apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Dutch. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
