本国別特則は、日本を拠点とするレストランパートナー(ユーザー)およびエンドカスタマーについて、FoxiFood利用規約、プライバシーポリシー、およびその他のグローバル法的文書を補足するものです。抵触が生じる場合、日本のユーザーについては本国別特則が優先します。
1. プラットフォーム運営者
FoxiFoodプラットフォームは、米国にて設立され、登録事務所を1111B S Governors Ave #21653, Dover, DE 19904, USAに置くElite Digital Services, LLCが所有し、世界中で運営しています。提供者は、foxifood.comおよびfoxi.foodのドメインにおいてのみ本サービスを運営します。
プラットフォームの他のドメインまたは現地版/各国版は、FOXIFOOD商標の使用に関する別個のライセンス契約に基づき、別の法的事業体によって運営される場合があります。かかる事業体は自己の名において、自己の責任で行動し、提供者とユーザーとの間の本契約の当事者ではありません。
2. 登録および利用可否
日本に設立されたレストランおよび飲食事業者は、本サービスに登録し、これを利用することができます。本サービスは、ホスティングされたSaaS(サービスとしてのソフトウェア)方式で米国から提供されており、提供者は日本に支店または拠点を有していません。
3. 準拠法および紛争
本契約は、利用規約第19条に定めるとおり、米国デラウェア州法に準拠し、紛争はデラウェア州裁判所の管轄に服します。本契約のいかなる規定も、日本の法律のうち合意により逸脱することができない規定による保護を、ユーザー(該当する場合は消費者)から奪うものではありません。
4. 税金
すべての価格はconsumption taxおよびその他の適用税を含まない純額です。提供者は米国企業であり、ユーザーは、外国供給者から購入したサービスに適用されるリバースチャージ制度または輸入サービス規則を含め、日本において適用されるconsumption taxおよびその他の税金について、自ら申告・納付する責任を負います。
日本国内の事業者は、the qualified invoice system (インボイス制度)の対象となる場合があります。かかる会計監査制度または請求書発行要件の遵守は、ユーザーの単独の責任とします。
5. データ保護
個人データは、当社のグローバルプライバシーポリシーおよびデータ処理契約に従って処理されます。日本のユーザーおよびエンドカスタマーについて、適用されるデータ保護の枠組みにはthe Act on the Protection of Personal Information (APPI)が含まれます。ユーザーは、そのエンドカスタマーの注文データについて引き続きデータ管理者であり、日本において適用されるデータ保護義務の遵守について責任を負います。
6. 消費者
エンドカスタマーによるFOXI IDまたはレストランの注文用ウェブサイトの利用について日本の強行的な消費者保護規則が適用される場合、FoxiFood法的文書のいかなる規定も、合意により放棄することができない当該規則により付与される権利を制限するものではありません。
7. 言語
本国別特則は日本語で提供されています。すべてのFoxiFood法的文書の英語版が正文であり、翻訳版と英語版との間に相違がある場合は、英語版が優先します。

English version (authoritative)
These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in Japan. In the event of a conflict, these Country-Specific Terms prevail for Users in Japan.
1. Platform Operator
The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.
Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.
2. Registration and Availability
Restaurants and food businesses established in Japan may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in Japan.
3. Governing Law and Disputes
The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of Japan that cannot be derogated from by agreement.
4. Taxes
All prices are net prices exclusive of consumption tax and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting consumption tax and any other taxes applicable in Japan, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.
Businesses in Japan may also be subject to the qualified invoice system (インボイス制度); compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.
5. Data Protection
Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in Japan, the applicable data protection framework includes the Act on the Protection of Personal Information (APPI). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in Japan.
6. Consumers
Where the mandatory consumer protection rules of Japan apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.
7. Language
These Country-Specific Terms are provided in Japanese. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
