본 국가별 특별약관은 대한민국에 소재한 레스토랑 파트너(이용자) 및 최종 고객을 위하여 FoxiFood 이용약관, 개인정보 처리방침 및 기타 글로벌 법적 문서를 보충합니다. 충돌이 있는 경우, 대한민국의 이용자에게는 본 국가별 특별약관이 우선합니다.

1. 플랫폼 운영자

FoxiFood 플랫폼은 미국에서 설립되었으며 등록사무소를 1111B S Governors Ave #21653, Dover, DE 19904, USA에 둔 Elite Digital Services, LLC가 소유하고 전 세계적으로 운영합니다. 제공자는 foxifood.com 및 foxi.food 도메인에서만 본 서비스를 운영합니다.

플랫폼의 다른 도메인 또는 현지/국가별 버전은 FOXIFOOD 상표 사용에 관한 별도의 라이선스 계약에 따라 별개의 법인이 운영할 수 있으며, 이러한 법인은 자신의 명의로 자신의 책임 하에 행동하고 제공자와 이용자 간 본 계약의 당사자가 아닙니다.

2. 등록 및 이용 가능 여부

대한민국에 설립된 레스토랑 및 식품 사업자는 본 서비스에 등록하여 이용할 수 있습니다. 본 서비스는 호스팅형 SaaS(서비스형 소프트웨어) 방식으로 미국에서 제공되며, 제공자는 대한민국에 지점 또는 사업장을 유지하지 않습니다.

3. 준거법 및 분쟁

본 계약은 이용약관 제19조에 명시된 바와 같이 미국 델라웨어주 법률의 적용을 받으며, 분쟁은 델라웨어주 법원의 관할에 따릅니다. 본 계약의 어떠한 내용도 대한민국 법률 중 합의에 의하여 배제될 수 없는 규정의 보호를 이용자(해당하는 경우 소비자)로부터 박탈하지 않습니다.

4. 세금

모든 가격은 VAT 및 기타 적용 가능한 세금을 포함하지 않은 순가격입니다. 제공자는 미국 회사이며, 이용자는 해외 공급자로부터 구매한 서비스에 적용되는 역진세(reverse-charge) 또는 수입 서비스 관련 규정을 포함하여 대한민국에서 적용되는 VAT 및 기타 세금을 스스로 산정하고 신고할 책임이 있습니다.

대한민국 내 사업자는 electronic tax invoices (전자세금계산서)의 적용을 받을 수도 있습니다. 이러한 재정관리(fiscalization) 또는 인보이스 발행 요건의 준수는 전적으로 이용자의 책임입니다.

5. 개인정보 보호

개인정보는 당사의 글로벌 개인정보 처리방침 및 데이터 처리 계약에 따라 처리됩니다. 대한민국의 이용자 및 최종 고객의 경우, 적용되는 개인정보 보호 체계에는 the Personal Information Protection Act (PIPA)가 포함됩니다. 이용자는 최종 고객의 주문 데이터에 대하여 계속하여 개인정보 관리자(data controller)이며, 대한민국에서 적용되는 개인정보 보호 의무의 준수에 대한 책임을 집니다.

6. 소비자

최종 고객의 FOXI ID 또는 레스토랑의 주문 웹사이트 이용에 대한민국의 강행적 소비자보호 규정이 적용되는 경우, FoxiFood 법적 문서의 어떠한 내용도 합의에 의하여 포기될 수 없는 해당 규정상 부여된 권리를 제한하지 않습니다.

7. 언어

본 국가별 특별약관은 한국어로 제공됩니다. 모든 FoxiFood 법적 문서의 영어 버전이 정본이며, 번역본과 영어 버전 사이에 불일치가 있는 경우 영어 버전이 우선합니다.

English version (authoritative)

These Country-Specific Terms supplement the FoxiFood Terms of Service, the Privacy Policy, and the other global legal documents for restaurant partners (Users) and end customers based in South Korea. In the event of a conflict, these Country-Specific Terms prevail for Users in South Korea.

1. Platform Operator

The FoxiFood platform is owned and operated worldwide by Elite Digital Services, LLC, a company incorporated in the United States with its registered office at 1111B S Governors Ave #21653, Dover, DE 19904, USA. The Provider operates the Service exclusively at the domains foxifood.com and foxi.food.

Other domains or local or national versions of the platform may be operated by separate legal entities under a separate license agreement for the use of the FOXIFOOD trademark; such entities act in their own name and at their own responsibility and are not a party to the Agreement between the Provider and the User.

2. Registration and Availability

Restaurants and food businesses established in South Korea may register for and use the Service. The Service is provided from the United States on a hosted software-as-a-service basis; the Provider does not maintain a branch or establishment in South Korea.

3. Governing Law and Disputes

The Agreement is governed by the laws of the State of Delaware, USA, and disputes are subject to the jurisdiction of the courts of the State of Delaware, as set out in Section 19 of the Terms of Service. Nothing in the Agreement deprives the User — or, where applicable, a consumer — of the protection of those provisions of the law of South Korea that cannot be derogated from by agreement.

4. Taxes

All prices are net prices exclusive of VAT and any other applicable taxes. The Provider is a United States company; the User is responsible for self-assessing and reporting VAT and any other taxes applicable in South Korea, including under any reverse-charge or imported-services rules that apply to services purchased from a foreign supplier.

Businesses in South Korea may also be subject to electronic tax invoices (전자세금계산서); compliance with any such fiscalization or invoicing requirements is the sole responsibility of the User.

5. Data Protection

Personal data is processed in accordance with our global Privacy Policy and Data Processing Agreement. For Users and end customers in South Korea, the applicable data protection framework includes the Personal Information Protection Act (PIPA). The User remains the data controller for its end customers' order data and is responsible for compliance with the data protection obligations applicable in South Korea.

6. Consumers

Where the mandatory consumer protection rules of South Korea apply to an end customer's use of FOXI ID or of a restaurant's ordering website, nothing in the FoxiFood legal documents limits any rights granted by those rules that cannot be waived by agreement.

7. Language

These Country-Specific Terms are provided in Korean. The English version of all FoxiFood legal documents remains the authoritative version; in the event of any discrepancy between a translation and the English version, the English version prevails.
